Third Party Code of Conduct

ITSA expects suppliers, subcontractors, consultants, resellers and other partners to conduct business lawfully, safely and honestly. This Code applies to work performed for or on behalf of ITSA and must be incorporated into the relevant supplier engagement. A supplier must communicate applicable requirements to its personnel and subcontractors and remain accountable for the work it delegates.

2 Human rights and labour

Prohibit forced labour, trafficking and unlawful child labour. ITSA requires workers delivering its services to be at least 18 for hazardous, electrical, height, driving and similar safety-critical tasks; lawful supervised training must not expose young people to prohibited work. Do not retain identity documents or use recruitment debt, threats or unlawful wage deductions to restrict freedom.

Respect dignity, lawful freedom of association and collective bargaining. Provide fair written conditions, lawful wages, working hours, rest and leave, and an accessible complaint route. Prevent discrimination, sexual harassment, bullying and retaliation. Comply with the Labour Act 11 of 2007 and applicable wage orders, collective agreements and affirmative-action duties where relevant. Contractors must not misclassify employment to avoid labour protections.

3 Workplace safety and site conduct

Assess hazards before work, provide competent supervision and suitable equipment and PPE, and respect stop-work decisions. Apply ITSA's SHEQ Policy where relevant. Electrical work, roof access, ladders, lifting, trenching, hot work and work near live services require task-specific controls, permissions and competent people. Coordinate isolation, emergency arrangements and public protection with the site owner.

Do not work while impaired by alcohol, drugs, fatigue or medication effects. Report injuries, near misses, unsafe conditions, environmental incidents and material defects promptly to the ITSA project lead. Provide emergency assistance without delay and preserve evidence safely. Do not retaliate against a worker who reasonably raises a safety concern.

4 Environment and resources

Use resources efficiently and prevent pollution. Segregate batteries, e-waste, lamps, chemicals and general waste; use lawful competent disposal or recycling providers and retain transfer evidence. Do not dump or burn electronic waste or release fuels, oils or batteries into soil or drains. Protect customer information on discarded equipment through authorised sanitisation and documented custody.

Assess permits and environmental clearance requirements before commencing activities that may require them. Reduce unnecessary travel, packaging, energy and water use. Do not make unsupported claims of carbon neutrality, recycled content or environmental certification. Specific environmental duties remain the responsibility of the person to whom the law or permit assigns them.

5 Bribery conflicts and procurement integrity

Never offer, request or accept a bribe, kickback, secret commission, facilitation payment or improper personal benefit. This includes gifts, travel, jobs, rebates and donations used to influence a decision. Follow the Anti Corruption and Bribery Policy in ITSA engagements. No cash or cash-equivalent gift is acceptable. Benefits during a live tender or approval process must be declined.

Disclose relevant relationships and conflicts before decisions. Do not use public officials, intermediaries or relatives to circumvent procurement rules. Deal only through legitimate verified accounts and accurate invoices. Report suspected laundering, fraud or sanctions concerns and cooperate with lawful verification under ITSA's Anti Money Laundering Policy.

6 Information security privacy and intellectual property

Access customer systems only with authority, for the agreed task and with least privilege. Protect credentials and use approved secure channels. Do not retain customer datasets, recordings, biometrics or backups for personal use. Do not subcontract access or transfer restricted information to another country without the required authorisation and safeguards. Follow the relevant data processing and confidentiality terms.

Notify the ITSA technical contact promptly of suspected compromise, loss, unauthorised disclosure or a material vulnerability affecting the engagement. Preserve evidence and cooperate with containment. Return or delete information at the end of work as instructed and retain only lawfully required protected records. Honour software licences, copyright and OEM marks. Do not upload ITSA or customer confidential information to an unapproved AI service.

7 Quality delivery and continuity

Use competent people and meet agreed specifications. Record testing, changes, defects, acceptance and handover. Disclose a material defect, delay, unsupported configuration or supplier constraint promptly; do not conceal failed tests or invent completion evidence. Agree and verify rollback and backup measures before material changes.

Maintain continuity arrangements proportionate to the service and cooperate with safe transition to another provider where required. Do not withhold customer-owned domains, tenants, credentials or work records as leverage for an unrelated dispute where the contract or law does not permit it. Any refusal must have an identified lawful basis and an escalation route.

8 Records review and corrective action

Keep accurate records of procurement, time, delivery, safety, licences, training, payments and subcontracting for the required period. ITSA may request proportionate evidence and conduct agreed risk-based reviews, respecting confidentiality, data minimisation and lawful access limits. This Code does not grant unlimited access to unrelated personal or commercial records.

ITSA may require a corrective-action plan, additional safeguards, retraining or replacement of unsuitable personnel. Serious or repeated violations may lead to suspension, termination under the contract or referral to an authority. Immediate protective action may be necessary for danger, corruption or a security incident. Findings and remedies must be fair, documented and proportionate.

9 Reporting and acknowledgement

Raise ordinary supplier concerns with the ITSA contract lead or [email protected]. Serious wrongdoing and retaliation may be reported under the Whistleblower Policy, including directly to a competent authority where appropriate. No one may punish a good-faith report or obstruct a lawful investigation. A supplier must not require internal permission before making a lawful external report.

Before engagement, an authorised supplier representative must confirm acceptance of this Code through the contract or onboarding record, identify the responsible contact and communicate it to relevant staff. The Managing Member oversees material exceptions and remediation. An exception cannot authorise unlawful conduct or lower a binding safety or privacy duty.
